End-User License Agreement (EULA) & User Terms

PACKAGE SOFTWARE USERS:

IMPORTANT – READ CAREFULLY BEFORE OPENING THIS PACKAGE: OPENING THIS PACKAGE INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS AND IS A REPRESENTATION BY YOU THAT YOU HAVE THE AUTHORITY TO ACCEPT THEM. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU SHOULD PROMPTLY RETURN THE UNOPENED PACKAGE, AND THE MONEY YOU PAID, IF ANY, WILL BE REFUNDED.

IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU SHOULD NOT DOWNLOAD OR INSTALL THIS SOFTWARE.

This Agreement may be updated or modified in the future. The latest version will always be available at www.manothevents.com.

1. Software License Grant

Manoth for Events Organizing and Managing Co. LLC (“Manoth Entertainment”) grants you a personal, non-transferable, non-exclusive, non-sublicensable license to install and use the software solely by a single user on one device for internal purposes.

2. Installation and Use

You may install the software on one additional device for the same user (e.g., office and laptop), but not simultaneously.
The software may not be installed on a shared network or used by multiple users.
You may create one backup copy for emergency purposes, properly labeled with copyright notices.

3. Enhancements & Media Elements

Any future enhancements, templates, or elements provided are subject to this agreement. Media elements included in the software (graphics, audio, templates) may not be reused, sold, or sublicensed without permission. You agree to indemnify Manoth Entertainment for unauthorized use.

4. Disabling Mechanisms

The software includes protection to prevent unauthorized use. You must not attempt to bypass or disable this mechanism.

5. Termination

This license terminates automatically if you breach any terms. Upon termination, all copies must be deleted or returned. Manoth Entertainment may seek legal remedies. If the software infringes third-party rights, Manoth may modify, replace, or terminate your license with a refund as the sole remedy.

6. Restrictions

No copying, redistribution, sublicensing, renting, or reverse engineering.
No exporting in violation of UAE or international law.
No transferring rights or allowing third-party access.

7. Intellectual Property

The software and all related materials are protected under UAE and international copyright law. All rights are retained by Manoth Entertainment.

8. Entertainment & Artist Booking & Services User Agreements

By using Manoth Entertainment’s platform or booking services (whether online, by email, or direct contact), you agree to the following additional terms:

Booking Confirmation: All entertainment or artist bookings are considered confirmed only upon written agreement and/or advance payment as per your project invoice.
Event Changes: Any changes to event details (location, timing, artist line-up) must be communicated and agreed upon in writing at least 48 hours in advance.
Cancellations: Cancellations made within 7 days of the scheduled event are subject to fees of up to 100% of the total booking amount, based on resources already allocated.
Artist Conduct: While Manoth provides only certified and professional talent, we are not liable for personal behavior or third-party damages caused by artists or guests during the event.
Intellectual Rights: All performances, choreography, costumes, visuals, and branded entertainment are the creative property of Manoth Entertainment. Recording or public reuse without permission is prohibited.
Use of Event Footage: You grant Manoth permission to use non-sensitive footage or imagery from public performances for promotional purposes, unless otherwise agreed in writing.
Service Access: Manoth reserves the right to replace or modify entertainment offerings due to force majeure or artist unavailability, with equivalent value and quality, subject to prior notice.

9. Limited Warranty

Manoth Entertainment warrants for 90 days that the software performs in accordance with the documentation. Remedies include repair, replacement, or refund upon valid proof of defect. Warranty voided by misuse or unauthorized modification.

10. Disclaimer

THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS.” MANOTH ENTERTAINMENT DISCLAIMS ALL OTHER WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

To the maximum extent allowed by law, Manoth Entertainment shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data.

12. Indemnification

You agree to indemnify and hold harmless Manoth Entertainment from claims resulting from misuse or breach of this agreement or from incidents occurring during booked services or events.

13. Governing Law

This agreement shall be governed by the laws of the United Arab Emirates. All disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE.

14. Complete Agreement

This document represents the full agreement between you and Manoth Entertainment. It supersedes all prior communications. Updates will be published on www.manothevents.com. Continued use or engagement with our services implies acceptance.
